These Terms & Conditions (“Terms”) govern access to and use of the IntraBuyer.com platform (“Platform”, “we”, “us”, “our”).
By registering or using the Platform, you agree to these Terms.

1. Platform Model

1. IntraBuyer.com operates as a B2B marketplace / intermediary connecting buyers and sellers.

2. We do not own, manufacture, stock, any goods listed on the Platform.

3. All products are sold by independent third-party sellers.

4. IntraBuyer.com collects payment from buyers on behalf of sellers, deducts its agreed commission, and settles the balance with sellers.

5. The Platform acts as a facilitator and not a principal seller.

2. Eligibility

1. Only business entities (Proprietorship, Partnership, LLP, Company) may use the Platform.

2. Users must have legal authority to bind their business.

3. Individual/consumer use is strictly prohibited.

3. Account Registration

1. Users must provide accurate business details including:

   • Business name

   • GST number (if applicable)

   • PAN and bank details (for sellers)

2. You are responsible for safeguarding your account credentials.

3. IntraBuyer.com reserves the right to suspend or terminate accounts providing false or misleading information.

4. Role of Sellers

Sellers agree and acknowledge that:

1. They are solely responsible for:

   • Product quality, description, and pricing

   • GST compliance and tax liability

   • Issuing GST-compliant invoice to the buyer

2. Products listed must comply with all applicable Indian laws.

3. Sellers authorize IntraBuyer.com to:

   • Collect payment from buyers

   • Deduct agreed commission and applicable taxes

   • Remit the balance amount as per settlement cycle

4. Sellers shall indemnify IntraBuyer.com against any claims arising from their products or conduct.

5. Role of Buyers

Buyers agree that:

1. All purchase decisions are made at their own risk.

2. Payment made on the Platform is final unless otherwise agreed under seller’s return policy.

3. Any dispute relating to:

   • Product quality

   • Delivery

   • Warranty
     shall be resolved directly with the seller.

6. Payments, Commission & Settlement

1. Buyers shall make full payment to IntraBuyer.com through authorized payment methods.

2. IntraBuyer.com will:

   • Collect payment

   • Deduct its commission and applicable GST

   • Transfer the remaining amount to the seller

3. Settlement timelines will be communicated separately and may vary.

4. IntraBuyer.com is not liable for bank delays or technical payment failures.

7. GST, Invoicing & Compliance

1. Sellers are responsible for issuing GST invoices to buyers for goods sold.

2. IntraBuyer.com will issue a commission invoice to the seller.

3. TCS under Section 52 of CGST Act, if applicable, shall be deducted and deposited as per law.

4. Sellers are solely responsible for:

   • GST returns

   • Tax payments

   • Compliance with applicable laws

8. Cancellation, Returns & Refunds

1. Returns and refunds are governed by the seller’s individual policy.

2. IntraBuyer.com may facilitate refunds but does not guarantee them.

3. Commission already earned may be non-refundable unless stated otherwise.

9. Prohibited Activities

Users must not:

1. List counterfeit, illegal, or prohibited goods

2. Manipulate prices or misrepresent products

3. Circumvent the Platform to avoid commission

4. Engage in fraud, money laundering, or unlawful activity

Violation may result in immediate termination.

10. Intellectual Property

1. All Platform software, design, logos, and content belong to IntraBuyer.com

2. Unauthorized copying or misuse is prohibited.

11. Limitation of Liability

1. IntraBuyer.com is not responsible for:

   • Product defects

   • Delivery delays

   • Seller defaults

   • Business losses

2. Maximum liability, if any, shall not exceed the commission earned from the user in the preceding 3 months.

12. Indemnity

Users agree to indemnify IntraBuyer.com against any claims, damages, penalties, or losses arising from:

• Breach of these Terms

• Violation of law

• Seller’s products or services

13. Termination

1. IntraBuyer.com may suspend or terminate access without notice for violation of these Terms.

2. Outstanding payments and obligations shall survive termination.

14. Governing Law & Jurisdiction

1. These Terms are governed by the laws of India.

2. Courts at Uttar Pradesh shall have exclusive jurisdiction.
